Terms of Service

Plain English summary: These terms are a contract between you and DockSync. The key points: your 30-day free trial is genuinely free with no auto-billing. You own all data you put into DockSync. We can't access your payment card details — Stripe handles all payments securely. You can cancel any time. If something goes wrong, our liability is capped at what you paid us in the last 3 months. 1. Acceptance of terms

By accessing or using the DockSync platform at app.docksync.app or our marketing website at www.docksync.app, you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you ("Customer", "you", "your") and DockSync Ltd ("DockSync", "we", "us", "our").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use DockSync.

These Terms should be read alongside our Privacy Policy, which is incorporated by reference.

2. Definitions

Free TrialA 30-day period of full access to the Service at no charge, available to new Customers

3. The service

DockSync provides a browser-based dock scheduling platform that enables warehouse operators to manage inbound delivery bookings, bay assignments, supplier performance, and driver check-ins. The Service includes:

  • A warehouse management dashboard with live KPIs and bay status monitoring
  • A supplier self-booking portal accessible via a unique link
  • A booking calendar with month, week, and day views
  • Bay management tools including active/inactive toggling and operating schedule configuration
  • QR code driver check-in functionality
  • Supplier delivery performance reporting
  • Automated supplier reminder notifications

The Service is provided on a software-as-a-service ("SaaS") basis. DockSync grants you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period, subject to these Terms.

3.1 Service availability

DockSync targets 99.5% monthly uptime. Scheduled maintenance will be communicated at least 24 hours in advance where possible and will be carried out during low-usage hours. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures (see Section 9).

3.2 Supported environments

The Service is designed to operate on current versions of Google Chrome, Microsoft Edge, and Safari. DockSync does not guarantee compatibility with outdated browser versions or unsupported operating systems.

4. Free trial

New Customers are eligible for a 30-day free trial with full access to all features of the Growth plan.

  • No payment details required to start your free trial
  • No automatic conversion: Your trial will not automatically convert to a paid subscription. At the end of the 30-day period, if you have not selected a paid plan, your account will be paused — not deleted — and you can reactivate it at any time
  • No sales pressure: You will not receive unsolicited sales calls. We may send you a small number of onboarding emails to help you get started
  • Each business entity is eligible for one free trial. Creating multiple accounts to circumvent this limit is a breach of these Terms
  • DockSync reserves the right to modify or discontinue the free trial offer at any time, but any trial already in progress will be honoured for its full 30-day period

5. Subscriptions and billing

5.1 Plans

All prices are exclusive of UK VAT, which will be added at the applicable rate. Prices may change with 30 days' written notice to active subscribers.

5.2 Billing cycle

  • Monthly subscriptions are billed on the same day each month as your original subscription date
  • Annual subscriptions are billed once per year on your subscription anniversary date
  • Subscription fees are charged in advance for the upcoming billing period
  • Failed payments will be retried up to 3 times over 7 days. If payment continues to fail, your account will be suspended until payment is resolved

5.3 Upgrades and downgrades

  • You may upgrade your plan at any time. Upgrades take effect immediately and you will be charged a pro-rated amount for the remainder of the billing period
  • You may downgrade your plan at any time. Downgrades take effect at the end of your current billing period
  • Plan changes are managed directly within the DockSync application under My Account → Subscription

5.4 Refunds

Subscription fees are non-refundable except where required by applicable consumer protection law. If you cancel during a paid period, you will retain access to the Service until the end of that billing period. No partial-period refunds are issued.

If DockSync terminates your account without cause, you will receive a pro-rated refund for the unused portion of your subscription period.

6. Payments via Stripe

All payment processing is handled by Stripe, Inc., a globally trusted payment infrastructure provider and PCI DSS Level 1 certified processor — the highest level of payment security certification in the industry.

6.1 How Stripe processes your payment

  • When you subscribe to a paid plan, you will be directed to a Stripe-hosted payment form
  • Your full payment card details are transmitted directly and securely to Stripe — DockSync never sees, intercepts, stores, or has access to your raw card number, CVV, or expiry date
  • Stripe tokenises your card and provides DockSync with a secure reference token only
  • All payment card data is stored and managed exclusively within Stripe's PCI DSS Level 1 compliant environment

6.2 Subscription management

  • Recurring billing, plan upgrades, downgrades, and cancellations are managed through Stripe's subscription infrastructure
  • To update your payment method, email billing@docksync.app and we'll action it within two business days
  • Stripe is authorised by the Financial Conduct Authority (FCA) as an e-money institution in the UK

6.3 Disputes and chargebacks

If you believe a charge is incorrect, contact us at billing@docksync.app before initiating a chargeback. We will investigate and resolve genuine billing errors promptly. Initiating chargebacks for valid charges may result in account suspension.

Important: DockSync will never ask you to share your payment card details by email, phone, or any channel other than the secure Stripe payment form within the application. If you receive any such request, treat it as fraudulent and contact us immediately.

7. Acceptable use

7.1 Permitted use

You may use DockSync solely for your internal business operations to manage warehouse dock scheduling, supplier bookings, and delivery operations.

7.2 Prohibited activities

You must not use DockSync to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe the intellectual property rights of DockSync or any third party
  • Transmit any unsolicited commercial communications (spam) through the supplier portal
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material
  • Attempt to gain unauthorised access to any part of the Service, its servers, or any third-party systems connected to it
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Resell, sublicense, or otherwise commercially exploit the Service without DockSync's prior written consent
  • Use the Service to develop a competing product or service
  • Use automated bots, scrapers, or crawlers to access or collect data from the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Create multiple accounts to circumvent feature or trial limitations

DockSync reserves the right to investigate suspected violations and suspend or terminate accounts where a breach is confirmed or reasonably suspected.

8. Data ownership and portability

8.1 Your data is yours

You retain full ownership of all Customer Data at all times. DockSync does not claim any ownership rights over the data you input into the platform — including booking records, supplier information, bay configurations, operational schedules, and QR check-in logs.

8.2 How we use your data

DockSync processes Customer Data solely to provide, maintain, and improve the Service as described in our Privacy Policy. We do not use your operational data to benchmark against other customers, sell to third parties, or for any purpose other than delivering the Service to you.

8.3 Data export

Upon cancellation or account closure, DockSync retains only the personal data necessary to fulfil legal and billing obligations (name, email address, and company name). Operational data held within your account (including bookings, supplier records, and bay configurations) is deleted when your account is closed. To request account closure or deletion of your personal data, contact privacy@docksync.app.

8.4 Supplier data

Where you input personal data about your suppliers into DockSync (such as contact names and email addresses), you warrant that you have a lawful basis to share this data with DockSync and that doing so is consistent with your own privacy obligations to those suppliers.

9. Infrastructure, security and uptime

9.1 Bubble.io infrastructure

DockSync is built on Bubble.io, an enterprise-grade application development platform. Bubble provides the following infrastructure security:

  • SOC 2 Type II compliant — independently audited security controls
  • AES-256 encryption at rest for all stored data
  • TLS 1.2+ encryption in transit for all data transmission
  • AWS-hosted infrastructure with data stored in EU/UK regions
  • Automatic daily backups with point-in-time recovery capability
  • DDoS protection and web application firewall
  • Regular third-party penetration testing

9.2 Service level

DockSync targets 99.5% monthly uptime. Scheduled maintenance windows will be communicated in advance where practicable. DockSync is not liable for service interruptions caused by:

  • Scheduled maintenance communicated in advance
  • Force majeure events outside our reasonable control
  • Third-party infrastructure failures (including Bubble.io or AWS)
  • Your own network, hardware, or browser issues
  • Actions of third parties including DDoS attacks

9.3 Security responsibilities

You are responsible for maintaining the security of your account credentials, restricting access to authorised users, and notifying us promptly at security@docksync.app if you suspect any unauthorised access to your account.

10. Intellectual property

All intellectual property rights in the DockSync platform, including its design, code, features, branding, documentation, and any improvements or enhancements, are owned by or licensed to DockSync.

These Terms do not grant you any rights in DockSync's intellectual property other than the limited licence to use the Service as described in Section 3.

If you provide DockSync with feedback, suggestions, or ideas about the Service, you grant DockSync a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

11. Confidentiality

Each party may receive confidential information from the other in connection with the Service. Each party agrees to:

  • Keep the other party's confidential information strictly confidential
  • Use confidential information only for the purpose of performing obligations under these Terms
  • Not disclose confidential information to any third party without prior written consent, except to employees or contractors who need it to deliver the Service and are bound by equivalent confidentiality obligations

This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law or court order.

12. Limitation of liability

12.1 Cap on liability

To the maximum extent permitted by applicable law, DockSync's total aggregate liability to you arising out of or in connection with these Terms or the Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid by you to DockSync in the three (3) months immediately preceding the event giving rise to the claim.

12.2 Excluded losses

DockSync shall not be liable for any:

  • Loss of profits, revenue, or anticipated savings
  • Loss of business or contracts
  • Loss of data (beyond our obligations under these Terms)
  • Business interruption losses
  • Indirect, consequential, special, or punitive damages
  • Loss arising from missed delivery slots, failed bookings, or operational disruptions caused by service unavailability

even if DockSync has been advised of the possibility of such losses.

12.3 Exceptions

Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to indemnify, defend, and hold harmless DockSync and its directors, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Your Customer Data infringing the intellectual property or privacy rights of any third party
  • Your use of the Service in a manner not authorised by these Terms

14. Termination

14.1 Termination by you

You may cancel your subscription at any time by emailing billing@docksync.app. Cancellation takes effect at the end of your current billing period. You will retain full access to the Service until that date.

14.2 Termination by DockSync

DockSync may suspend or terminate your account immediately if:

  • You breach any material provision of these Terms and fail to remedy the breach within 14 days of written notice
  • You engage in any prohibited activity under Section 7
  • Payment is overdue by more than 30 days after the retry period
  • We are required to do so by law or regulatory authority

DockSync may terminate your account without cause by giving 30 days' written notice, in which case you will receive a pro-rated refund of prepaid fees.

14.3 Effect of termination

Upon termination, your right to access the Service ceases immediately (or at the end of your billing period for customer-initiated cancellation). To request deletion of your personal data following termination, contact privacy@docksync.app. Operational data will be deleted upon account closure.

15. Changes to the service and these terms

15.1 Changes to the service

DockSync is continuously developed and improved. We may add, modify, or remove features from the Service at any time. Where a change materially reduces functionality you rely on, we will provide at least 30 days' advance notice.

15.2 Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and display a notice within the application at least 30 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you may terminate your account before they take effect.

16. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute, except that DockSync may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

Dispute resolution process: Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally. You should first contact us at hello@docksync.app describing the dispute. We will respond within 10 business days. If the dispute is not resolved within 30 days, either party may pursue formal remedies.
